  • Represented a mid-size international company through all aspects of expansion into numerous facilities across the country (including site due diligence, acquisition/leasing, vendor and service contracting, and build-out).
  • Assisted a hospital system in the acquisition of an independent practice.
  • Represented a real estate holding company in the development and implementation of a comprehensive portfolio refinancing plan.
  • Represented an educational institution with regard to financing (municipal bond) and construction of a $70M design-build project.
  • Represented a health care industry client in the formation of a joint venture for the provision of services abroad.
  • Represented a local health care system in a $290M combined taxable and tax-exempt municipal bond financing transaction.
  • Represented a client with due diligence, regulatory compliance, and acquisition of an existing nation-wide third party administrator.
  • Represented a client in the implementation of a long-term entity restructure plan, including new formations, dissolutions, and mergers.
  • Represented a client in the development and implementation of customized form construction and design contracts for use with builders and architects throughout the country.
  • Represented a nonprofit client through negotiations with a local governmental body for a transaction involving the two-way conveyance of property and the development of clinic and related office property.
  • Represented a software developer in licensing its products to third party distributors.
  • Represented a local entrepreneur with the formation of a business with multiple investor partners, developing organizational guidelines, and “end-game” planning.
  • Represented a client in the development and implementation of Purchase Agreements with international equipment suppliers.
  • Represented a multi-property medical office tenant in the exercise of a purchase option to acquire all leased properties, including the simultaneous sale-leaseback with a third-party of certain improvements covered by the purchase option.
  • Represented a hospital system in the negotiation of a system wide third-party facility and purchasing management agreement.
  • Represented a provider of medical SaaS services in all contracting efforts nationwide.
