NJL People: Zachary J. Crain

Zach’s clients include businesses, hospitals and medical providers, social services charities, and trade associations. Serving as a Shareholder in the firm, he advises these clients on corporate and real estate transactions, including New Markets Tax Credit and other government-funded financing, and on regulatory compliance and risk management matters.

Combining a background in business and prior in-house experience, Zach excels at translating complex themes for his clients while positioning them to be successful. He works collaboratively with clients and colleagues, as he focuses on building strong and lasting relationships.

Outside of work, you can find Zach raising his children, spending time outdoors, and socializing with family and friends.

    • Representation of buyers and sellers in acquisitions in retail, publishing, service, and health care industries
    • Representation of nonprofit organizations in spin-offs, mergers, and dissolutions
    • Representation of emerging companies in raising capital
    • Assisting in the sale, purchase, and leasing of commercial real estate
    • Negotiation of complex commercial transactions
    • Assisting in the development of online banking terms and conditions
  • Responding to investigations by state agencies and licensing boards
  • Internal investigations of complaints against employees and volunteers in nonprofit organizations
  • Representation of nonprofit organizations in significant litigation matters, such as:
    • State of Minnesota v. Eden Prairie – A Brighter Day Foundation, trial defense of nonprofit corporation in case involving allegations of breach of fiduciary duties by the nonprofit’s executive director and claims by the executive director for unpaid compensation
    • Neely v. Minnesota Fringe Festival, defense of a claim for consumer fraud
    • Boggs v. The Salvation Army, defense of social services nonprofit against personal injury lawsuit
    • Resolution of intellectual property disputes among trade association members
    • Resolution of investigations by the Office of the Minnesota Attorney General
    • Representation of local church in obtaining separation from its national denomination
    • Resolution of dispute involving board members, contractors, and volunteers
